Hydrovisions,
Inc. (HV) sells its Raptor designs and accessories through a network of
Sales Agents. It does not sell through stocking distributors or dealers.
HV Sales Agents purchase their boat at full retail price but qualify for
a $1,000 rebate when they sell their first four boats. The rebate is paid
in four equal installments of $250 each. In addition, Sales Agents earn
a 7% commission on all boats sold. Sales Agents are given exclusive rights
to solicit orders in a geographically limited Sales Region. HV Sales Agents
must attach a sticker with Hydrovisions’ web site address on the
sail of their own boat and must agree to take their boat to the most popular
beaches and launch sites in their Sales Region on weekends and holidays
and give prospective purchasers the opportunity to sail and/or paddle
the boat.
Orders
for boats are placed directly with HV by purchasers via the internet.
Boats can be picked up by customers at HV’s assembly facility in
Vista, California or drop shipped, freight prepaid, directly to customers.
HV Sales Agents are paid a commission on sales to all purchasers whose
orders resulted from a demonstration sail or paddle provided by an HV
Sales Agent within his/her Sales Region.
HV Sales Agents are independent contractors and not employees of HV. They
own their demonstration boat(s) and are responsible for:
a) instructing prospective purchasers of the Raptor in the safe operation
of the boat,
b) insuring that the prospective purchaser is competent to take the boat
out in the prevailing conditions at the time of the demonstration, and
c) insuring that the prospective purchaser is a competent swimmer and
wears a personal floatation device. They must sign an independent contractor
agreement with HV that contains, among other provisions, indemnification
and hold harmless provisions covering the foregoing responsibilities.
